Acceptable Use Policy

1. Purpose

This Acceptable Use Policy ("AUP") establishes the standards of conduct that apply to all members, users, and representatives accessing the Fence and Ledger platform (the "Platform"). This AUP supplements and is incorporated into the Terms of Use. All capitalized terms not defined herein have the meanings assigned in the Terms of Use.

2. General Standards

Members and their designated users are expected to conduct themselves with the same professionalism and integrity that governs direct institutional relationships. The Platform is a professional environment designed for the exchange of commercial loan opportunities among qualified participants. All interactions, listings, and communications should reflect this standard.

3. Prohibited Activities

You may not use the Platform to:

  • Submit false, misleading, or fraudulent information in any deal listing, application, or communication
  • Share, distribute, or forward confidential deal data, documents, or counterparty information to anyone outside your authorized team
  • Circumvent access controls, document watermarks, or expiration mechanisms
  • Scrape, crawl, or systematically extract data from the Platform
  • Interfere with the operation, security, or availability of the Platform
  • Use the Platform for any purpose that violates applicable law, regulation, or licensing requirement
  • Impersonate another individual, institution, or entity
  • Transmit malware, viruses, or other malicious code
  • Use the Platform to solicit, advertise, or promote products or services unrelated to commercial lending
  • Share your account credentials with unauthorized individuals or allow unauthorized access to your account

4. Content Standards

All content submitted to the Platform, including deal listings, document uploads, and messages, must be accurate, lawful, and consistent with the professional standards expected on the Platform. Content that is defamatory, discriminatory, harassing, threatening, or otherwise inappropriate will be removed and may result in account suspension or termination.

5. Data Handling

Members are responsible for ensuring that any data they submit to or receive from the Platform is handled in accordance with applicable privacy laws, data protection regulations, and the confidentiality obligations established in these terms and any applicable deal-specific agreements. Members must not use data obtained through the Platform for purposes beyond evaluating and transacting the specific deal opportunity for which access was granted.

6. Reporting Violations

If you become aware of any activity that violates this AUP, please report it promptly to compliance@fenceandledger.com. All reports are reviewed by our compliance team and treated confidentially to the extent possible.

7. Enforcement

Violations of this AUP may result in a range of actions at Fence and Ledger's discretion, including warnings, content removal, temporary suspension, permanent termination of membership, and referral to appropriate authorities. Fence and Ledger reserves the right to investigate suspected violations and to take any action it deems necessary to protect the Platform and its members.
