Nature of the Platform

Fence and Ledger, Inc. ("Fence and Ledger") operates a technology platform that facilitates the exchange of commercial loan opportunities between approved institutional members. Fence and Ledger is a technology and infrastructure provider. It does not originate, underwrite, fund, service, or broker commercial loans. It does not act as a bank, lender, investment advisor, broker-dealer, or fiduciary.

No Advisory Relationship

Nothing on the Platform or in any communication from Fence and Ledger constitutes legal, financial, tax, investment, or regulatory advice. The Platform provides tools and infrastructure for institutional members to share and evaluate commercial loan opportunities. All decisions regarding any transaction are the sole responsibility of the participating member institutions and their qualified advisors.

No Endorsement

Approval of a membership application does not constitute an endorsement, recommendation, or guarantee of any member institution by Fence and Ledger. Trust scores displayed on the Platform are calculated from platform activity data and member feedback; they do not represent a credit rating, financial assessment, or guarantee of performance by any member.

The listing of a deal opportunity on the Platform does not constitute an endorsement, validation, or recommendation of that opportunity by Fence and Ledger. Members are solely responsible for conducting their own due diligence on any transaction.

Regulatory Status

Fence and Ledger is not a registered broker-dealer, investment adviser, bank, or credit union. The Platform is not registered with or supervised by the Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Office of the Comptroller of the Currency (OCC), the Federal Deposit Insurance Corporation (FDIC), the National Credit Union Administration (NCUA), or any state banking or securities regulator.

Members are responsible for ensuring that their use of the Platform complies with all applicable laws, regulations, and licensing requirements in their jurisdiction.

No Guarantee of Results

Fence and Ledger does not guarantee that any member will find suitable deal opportunities, that any deal will be completed, or that any particular outcome will result from use of the Platform. The availability, quality, and suitability of deal opportunities depend on the activity of other members and market conditions beyond Fence and Ledger's control.

Third-Party Content

Deal listings, documents, messages, and other content on the Platform are provided by member institutions, not by Fence and Ledger. Fence and Ledger does not independently verify, audit, or guarantee the accuracy, completeness, or reliability of any content submitted by members. Members are encouraged to independently verify all information before making any transaction decision.
